Founded in September, 1993 and Incorporated in May, 1996, Worldwide Manufacturing, USA Inc., (Hereafter, “Worldwide”) a California Corporation, is a fast growing engineering and quality control firm, specializing in international contract manufacturing and its logistic services and a China manufacturer as well. Worldwide’s clear competitive advantage is its ability to timely deliver high quality components at manufacturing costs that are at least fifty percent (50%) less than what Worldwide’s customers pay for similar products in the United States.

Worldwide provides its services to more than 100 companies in the United States, primarily in the wireless antenna, aerospace, automotive, and electronics industries. Although Worldwide initially focused on manufacturing components for the high tech industry, Worldwide’s CEO, Jimmy Wang, realizes that through Worldwide’s business model, the company has the ability to manufacture components and finished products for a broad number of industries. Worldwide currently manufactures components and products for a wide variety of customers.

Through Worldwide’s wholly owned subsidiary in Shanghai, Shanghai Intech Electro-Mechanical Products Co, Ltd. (hereinafter, “Intech”), Worldwide employs thirty three (33) staff engineers. As an engineering firm, Intech provides technical advices, design, on time delivery supervision, material procurement, and manufacturing quality control services to companies in the United States seeking to manufacture or purchase components from manufacturers in China.

As a contract manufacturer and engineering service company, Worldwide uses its engineers to maintain the highest levels of quality and delivery control. Worldwide’s engineers supervise all aspects of the manufacturing process. Worldwide manages the entire production of its customer’s finished products or components. Worldwide’s engineers write the production and inspection procedures, conduct the material’s audits, and conduct all of the in-progress and final inspections.

To fulfill its customer’s orders, Worldwide engages a select group of subcontractors located mostly around Shanghai area of China. All of Worldwide’s active subcontractors have received the International Standard Organization-9000 certification. This certification is issued to each factory after its management receives the prerequisite training.

The unique business relationships, between Worldwide and its subcontractors has allowed Worldwide to sharply reduce its customers’ manufacturing costs and at the same time maintain high standards of quality.

Through Worldwide’s relationships with its sub-contractors, Worldwide has developed an effective model for foreign companies to safely take advantage of lower cost manufacturing in China. Worldwide’s sub-contractors provide plant, equipment, manufacturing working capital and factory labor, while Worldwide provides sales, management, production controls, cash f;ow capital and technological and technical support. Under this model, Worldwide’s subcontractors are highly motivated to support Worldwide’s continued success, because Worldwide represents a constant flow of new and long-term business.

This unique relationship is the reason that Worldwide’s business continues to successfully grow.

Worldwide provides its customers with the well-established advantages of manufacturing in China, and eliminates the disadvantages that many companies fear from direct supply contracts with manufacturers in China, or the risks of making large capital investments in joint ventures. This business model has proven to work to Worldwide’s and its customer’s advantage.

Since Worldwide primarily employs engineers, and engages a broad variety of subcontractors, Worldwide manufactures for and can continue to manufacture in a broad range of industries. As demand for manufacturing slows for a particular product, industry or sector, Worldwide remains flexible in its ability to pursue opportunities to manufacture other products. Even as the United States’ economy slowed down, from 2000 to 2001, Worldwide realized over seventeen point four percent (17.4%) annual growth in its gross revenues, and from 2001 to 2002, the growth rate was twenty one percent (21%). The growth from 2002 to 2003 was thirty five percent (35%).

Although Worldwide’s early success derives from its ability to secure customers in the United States, and from Worldwide’s in-depth understanding of China and long standing business relationships in China, its management is currently developing the next stage in Worldwide’s development.

Starting from June of 2004, Worldwide began extensive discussions to acquire several factories, from among its ninety nine (99) subcontractors mostly in Shanghai, Jiangsu and Zhejiang areas. Worldwide, later, executed letters of intent to purchase several of those factories. In the past two months, Worldwide augmented its management to supervise the acquisition and integration of the target factories. Worldwide engaged an experienced SEC approved auditing firm and an acquisition Law Office in Shanghai to assist Worldwide with its further due diligence of the acquisition candidates.”
